End User License Agreement

Deutsche & Japaner is the owner of Deutsche & Japaner Font Software (“Font Software”, “Font”, “Fonts”, “Font File”) for which the licensee (“You”) acquires a license.

Deutsche & Japaner offers several licensing options based on how you will use the software. Please contact us to discuss any other requirements you may have.

Please read this document carefully and keep a copy for further reference.

This End User License Agreement (“Agreement”) will apply between the licensee and Deutsche & Japaner GbR if you purchase, download or otherwise access the Font Software.

Deutsche & Japaner grants You a non-exclusive, non-transferable license to the Font Software accompanying this EULA, provided that You have paid in full. The license confirmation, together with the invoice or receipt where applicable, will serve as documentation of the license. You do not obtain ownership of the copyright.

Ownership

You agree that all rights, title and interests in and to the Font Software shall remain the exclusive property of Deutsche & Japaner. All rights not expressly granted under this license are reserved to Deutsche & Japaner.

No Transfer, No Sublicensing

All licenses are non-transferable, meaning You may not distribute, sell, rent, sublicense, or otherwise assign or transfer any rights, duties or obligations under this Agreement, in whole or in part, except as expressly provided herein.

No Modification

You are not allowed to modify the Font Software in any way, shape or form. You may not re-name, reverse engineer, decompile, disassemble, alter or otherwise copy the Fonts, except as expressly provided in this Agreement.

Usage

Deutsche & Japaner Font Software is licensed for use by a specified number of users and for specified uses. All users must be part of the same legal entity or organization purchasing the Font. The license extends to temporary employees, but only while they are providing professional services to the licensee. You may not transfer or sub-license the license to clients or any other parties. Each entity must purchase its own license appropriate for their intended use. You may license the Fonts on behalf of Your end user client. However, You must ensure that the end user client accepts and is bound by the terms of this Agreement without modification. You may not charge Your end user client any additional fees for using the Fonts, nor may You use the same Fonts yourself without an additional license.

Definitions

“Embed/Embedding” means the use of the Fonts in Applications for dynamic or static text styling. Depending on the license, You may be allowed to embed the fonts. However, You are never permitted to Embed the Fonts directly into any physical devices or store the Fonts on a device and assign that device to any third party.

“Your Organization” means the company You are an owner or employee of or the organization of which the company is a part, including all its locations. Your Organization shall not include clients or other third parties.

Desktop License

License Size

The size of the license is determined by the overall size of the company. The overall size is based on the total number of employees, not by the number of users accessing the font software.

Usage

You purchase a perpetual, worldwide license which allows you to install the fonts on all of your devices within Your organization. You may make one (1) archival copy of the Fonts Software and You agree to retain exclusive custody and control of any such copy. The Deutsche & Japaner Font Software may not be sublicensed, sold, leased, rented, lent, or given away to another person or entity.

Under this license you are permitted to use the Fonts installed for creating images on any surface such as computer screens or printed material. This includes, by way of example and not by limitation, printed media such as magazines, books or print advertising, company letterheads, social media posts, signage, packaging, point of sale displays, and merchandise items.

You will need an extended and customized Desktop License if You are using the Fonts in a logo. Please contact support@deutscheundjapaner.com for further information.

You may not use the Fonts in discriminatory contexts, including racist, homophobic, or sexist content. The prior written consent of Deutsche & Japaner is required for use in political campaigns, please contact support@deutscheundjapaner.com for more information.

Modification

You may import characters from the Fonts as graphical objects into a drawing program and create outline artwork based on the Fonts, but under no circumstances may You convert the Fonts to any format other than the one provided by Deutsche & Japaner.

Embedding

Embedding of the Deutsche & Japaner Font Software into PDF, PS and EPS files is only permitted in a secured read/print- only mode provided that the document itself is not a commercial product. Embedding the Fonts into any other format is prohibited under this license. Embedding the Fonts in non-secured modifiable environment and/or as the document itself is a commercial product, requires an upgrade to the license.

Third Party Suppliers

You may pass a copy of the Fonts to a prepress bureau or printer as part of a file release if necessary, provided that the printer or service bureau agrees to use the Fonts exclusively for Your work, agree to the terms of this license, and to destroy all copies of the Font Software upon completion of its work.

The price of the license is determined by the number of devices/licenses.

Web Licence

License Size

The size of the license is determined by the overall size of the company. The overall size is based on the total number of employees, not according to monthly unique visitors or traffic.

Modification of the Fonts under this license is prohibited.

Usage

You purchase a perpetual, worldwide license which allows You to use the Fonts on one (1) domain which You have identified and registered during Your purchase. The license is NOT transferable after publication in the public domain. The license includes the use of unlimited subdomains within the licensed and assigned web domain. All Fonts must be stored in an online storage to serve websites to which You or Your Organization have sole administrative access (other than the owner of the server).

You may Embed the Fonts into websites using the CSS @font-face mechanism but You may not Embed the Fonts into any other format or in any other way. Neither may You use the Fonts to create or save raster or vector images. A copy of the Fonts may be sent to a third-party website developer if necessary.

You will need an extended and customized Web License if You are using the Fonts in an App. Please contact support@deutscheundjapaner.com for further information.

Trial Licence

Deutsche & Japaner offers Trial Fonts to test before licensing. The Trial License permits the licensee downloading and installing a limited character set of Fonts (hereafter “Test Fonts”), internally and solely for test and trial purposes. You are not allowed to use the Test Fonts for any commercial purposes or for works which will be published. The Trial License for the evaluation of the Fonts is free of charge.

General

These general terms shall apply to Your contractual relationship with Deutsche & Japaner for all licenses. Each license will additionally include specific terms.

Termination

Any breach of the terms of this Agreement shall be cause for termination without notice. In the event of termination, and without limitation of any remedies under law and equity, You agree to immediately cease the use of the Fonts and destroy all copies of the Fonts.

Copyright

The Fonts and accompanying materials are copyrighted and contain proprietary information and trade secrets of Deutsche & Japaner. Unauthorized copying of the Fonts, even if modified, merged or incorporated into other software or written materials, is strictly prohibited.

Technical Standard and support

The licensed Fonts are provided “as is.” We strive to produce our Fonts according to the latest technical standards. If You demonstrate to Us that the Fonts do not substantially conform to the technical standard, We reserve the right to correct the deficiency within 30 days of Your notification. If We do not correct the error within 30 days, You may request a refund. After a refund, the license is immediately terminated, and any further use of the Fonts is strictly prohibited. Deutsche & Japaner will provide technical support for the functionality of the Fonts, but we cannot guarantee that the Fonts will work perfectly on all operating system platforms.

Font Software Delivery

The Font Software will be delivered to You via Internet download for use on the computers as needed.

Warranties & Liabilities

Deutsche & Japaner makes no warranties, express or implied as to merchantability, fitness for a particular purpose, or otherwise. Without limiting the foregoing, Deutsche & Japaner shall in no event be liable to the licensed user or any other third party for any direct, indirect, consequential, or incidental damages, including damages from loss of business profits, business interruption, loss of business information, arising out of the use or inability to use the product even if notified in advance. Under no circumstances shall Deutsche & Japaner’s liability exceed the replacement cost of the software.

Refunds

All purchases of Deutsche & Japaner font software are final, we do not refund money on font license purchases. The Deutsche & Japaner Font Software may be returned or exchanged only if defective. Defective software will be replaced when accompanied by a valid sales receipt and Deutsche & Japaner is notified within one (1) week of purchase.

Reference Use

Unless You specifically request otherwise in writing, Deutsche & Japaner may use Your organization’s name and trademarks to identify You as a customer of Deutsche & Japaner and may publish images and videos of the use of the Fonts for marketing purposes only.

Applicable Law and Court of Jurisdiction

This Agreement shall be governed by and construed exclusively in accordance with German law. Place of performance and exclusive place of jurisdiction is the location of the headquarters of Deutsche & Japaner, currently Mannheim, Germany.
